Constitution
ARTICLE I – NAME
The name of this organization is: SUCCESSFUL BUSINESSWOMEN’S ASSOCIATION

ARTICLE II - PURPOSE
The mission of this organization is to promote the general welfare of its members; aid and assist each member to achieve the highest degree of achievement in her particular career; offer members the benefit of referrals, and promote personal contact with the group membership to enhance each member’s success.

ARTICLE III - MEETINGS
Section 1. Time, Place and Type - The place and time of regular meetings shall be as designated in the By-Laws. A special business meeting may be called by a member of the Board of Directors with written notice to all members at least five (5) days prior to the meeting date.

Section 2. Quorum - A quorum to conduct business meetings shall consist of a majority of membership.

ARTICLE IV - BOARD OF DIRECTORS
Section 1. Number and Terms of Office - The business and the property of the organization shall be managed and controlled by a Board of Directors. The Board shall consist of the President, President Elect, VP Administration, VP Treasurery, VP Programs, VP Social Arrangements, VP Membership and the Chairwomen of all standing committees as established in the By-Laws.

Section 2. Vacancies - Any vacancy in the Board of Directors shall be filled by a majority vote of the remaining members of the Board.

ARTICLE V - OFFICERS
Section 1. Officers - Officers of the organization shall be: President, President-Elect, Secretary, Treasurer.

Section 2. Election - All Officers shall be elected from the membership of the organization and shall hold office for a term of twelve (12) months.

Section 3. Duties - The duties of the Officers shall be as designated in the By-Laws.

Section 4. Vacancies - (A) If any Office, other than the Presidency becomes vacant prior to a regular election of Officers, the Office shall be filled by recommendation by the President with a majority vote of the remaining Board of Directors. (B) If the Office of President becomes vacant prior to regular election of Officers, the President Elect shall become President and the office of President Elect shall be filled as provided in paragraph (A).

ARTICLE VI - MEMBERSHIP
Types of memberships shall be as defined in the By-Laws. The membership shall be limited to a maximum number of fifty (50) active members.

ARTICLE VII - DUES AND ASSESSMENTS
Dues and other assessments shall be levied in accordance with the By-Laws.

ARTICLE VIII - AMENDMENTS
Section 1. Constitution - This Constitution my be amended by a two-thirds vote of the members present at a regular or a specially called business meeting, provided a Quorum is present. Before presenting an amendment for a vote, the President shall notify all members in writing of the proposed change at least one week in advance of the meeting at which the vote is taken, unless majority of members present at an earlier business meeting approved the amendment to be brought to a vote. Prior to the vote, the President shall provide each member with a copy of the proposed amendment(s).

Section 2. By-Laws - The By-Laws may be amended by a majority of members present at any regular business meeting, provided a Quorum is present.
